AGREEMENT

This is an Agreement between you or the entity that you represent (hereinafter “you” or “your”) and FIRSTBIT SMART SOLUTIONS L.L.C (hereinafter referred to as "FIRSTBIT", "Company", "we", "our", or "us") governing your use of FIRSTBIT SMART SOLUTIONS L.L.C accounting and/or ERP online software products and services provided to you by FIRSTBIT SMART SOLUTIONS L.L.C, including content, updates and new releases (collectively, “Services”).

By accessing or using the https://firstbit.ae/ website (“Webite”), you agree to be bound by these Terms and Conditions and all applicable laws and regulations of the United Arab Emirates.

The United Arab Emirates is our country of domicile and any purchase, dispute or claim arising out of or in connection with this Website shall be governed and construed in accordance with the laws of the United Arab Emirates.

Visa or MasterCard debit and credit cards in AED will be accepted for payment.

The displayed price and currency at the checkout page will be the same price and currency printed on the Transaction Receipt, and the amount charged to the card will be shown in your card currency.

Once the payment is made, the confirmation notice will be sent to you via email within 24 hours of receipt.

We do not provide services to individuals or entities subject to sanctions administered by OFAC or other applicable sanctions authorities.

You are responsible for securely managing your password(s) and maintaining the confidentiality of your Services account. You must contact FIRSTBIT SMART SOLUTIONS L.L.C immediately if you become aware of any unauthorized access to your account. The Services may periodically be updated with tools, utilities, improvements, third-party applications, or general updates to enhance performance and functionality. By using the Services, you agree to receive these updates.

ELIGIBILITY

FIRSTBIT SMART SOLUTIONS L.L.C does not collect personal information from minors under the age of 18. Minors under the age of 18 may not register as users of the Website or transact on it.

YOUR RIGHTS TO USE THE SERVICES

The Services are protected by copyright, trade secret, and other intellectual property laws. FIRSTBIT SMART SOLUTIONS L.L.C grants you a personal, limited, non-exclusive, non-transferable, and revocable license to use the Services solely for the purposes described in this Agreement, subject to your compliance with its terms. All rights not expressly granted are reserved by FIRSTBIT SMART SOLUTIONS L.L.C.

You agree not to use, nor permit any third party to use the Services or content in a manner that violates any applicable law, regulations or this Agreement. You agree you will not:
  • Provide access to or give any part of the Services to any unauthorized third party.
  • Reproduce, modify, copy, deconstruct, sell, trade or resell the Services.
  • Make the Services available on any file sharing or application hosting service.
Each Services account may manage multiple legal entities belonging to a group. If you are using the Services for profit and/or to provide accounting services to third parties, a separate account must be created for each company. Violation of this condition will result in penalties covering the cost of all unauthorized third-party usage.

SETTING UP FIRSTBIT SMART SOLUTIONS L.L.C SERVICES ACCOUNT DIRECTLY

We will give you your sign-in details and passwords to enable you to use Services (the “sign-in information”) once you have registered with us. You may be eligible for a free trial of the Services. We will confirm the duration of any applicable free trial period in a confirmatory email following registration. If you are a new customer to the Services, you can select to the Services immediately without a free trial by signing up and paying directly to FIRSTBIT SMART SOLUTIONS L.L.C. Any interruption in payment resulting in a deactivation and subsequent reactivation of your FIRSTBIT SMART SOLUTIONS L.L.C Services will result in your subscription being reactivated at our current list price. Once you have purchased the Services at FIRSTBIT SMART SOLUTIONS L.L.C ’s current list price, any additional subscriptions made any time later by you of the Services will be at our then-current price list for Services as specified on our website.

If you continue to use the Services following your trial period or if you have elected to purchase the Services without taking a free trial, you agree to pay the applicable subscription fee directly to us via the payment method specified during registration or via any other payment method which we may notify you about from time to time, until either you or we end this Agreement in one of the ways set out in Suspension and Termination part of this Agreement.

If at any time during your use of the Services, you wish to include additional FIRSTBIT SMART SOLUTIONS L.L.C Services add-on modules within your subscription, you must pay the applicable fees for each additional FIRSTBIT SMART SOLUTIONS L.L.C Services’ add-on module and your subscription fee will be prorated from the date access to the relevant Services add-on module is made available to you until the commencement of your next period subscription payment. If you wish to reduce access to certain Services add-on modules, you may do so from the commencement of your next monthly subscription when your fees will be calculated to take account of your reduced access to the Services components.

If at any time we charge you an incorrect price, we reserve the right to rectify our invoice and claim payment from you for the correct amount which you agree to pay. If we have overcharged you, we will reimburse your next subscription payment for the amount by which you have been overcharged.

We may increase the subscription fee for the Services at any time by giving you not less than 30 days’ written notice and such an increase will take effect from your next payment date after this notice period has ended.

By using the functionality within the Services, if your accounting service provider is an Accountant Partner of FIRSTBIT SMART SOLUTIONS L.L.C, you can grant this FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner access to your FIRSTBIT SMART SOLUTIONS L.L.C Services account. To make the use of the Services more convenient, the FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner will be granted one (1) complimentary user access to your FIRSTBIT SMART SOLUTIONS L.L.C Service account. If you choose to do this, we cannot accept any liability for the actions of your FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner including, without limitation, their access to your FIRSTBIT SMART SOLUTIONS L.L.C Services account or the data contained within it. Except where your FIRSTBIT SMART SOLUTIONS L.L.C Accountant has set up your FIRSTBIT SMART SOLUTIONS L.L.C Services account (in which event, clause Setting up FIRSTBIT SMART SOLUTIONS L.L.C Services account through a FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner shall apply), you can withdraw your FIRSTBIT SMART SOLUTIONS L.L.C Accountant’s access to your FIRSTBIT SMART SOLUTIONS L.L.C Services account at any time. This will lead to the termination of the FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner 1 user access to your FIRSTBIT SMART SOLUTIONS L.L.C Services account.

SETTING UP FIRSTBIT SMART SOLUTIONS L.L.C SERVICES ACCOUNT THROUGH A FIRSTBIT SMART SOLUTIONS L.L.C ACCOUNTING PARTNER

If your FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner sets up your FIRSTBIT SMART SOLUTIONS L.L.C Services account for you, your account will automatically be linked to the FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner’s own FIRSTBIT SMART SOLUTIONS L.L.C Services account. To make the use of the FIRSTBIT SMART SOLUTIONS L.L.C Services more convenient, the FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner will be granted one (1) complimentary user access to your FIRSTBIT SMART SOLUTIONS L.L.C Service account. If you make a payment for your FIRSTBIT SMART SOLUTIONS L.L.C Services to your FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner and not to FIRSTBIT SMART SOLUTIONS L.L.C (until such time that we, and/or your FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner notify you to pay us directly) for your use of FIRSTBIT SMART SOLUTIONS L.L.C Services, your FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner will manage your FIRSTBIT SMART SOLUTIONS L.L.C Services account. As you cannot withdraw your FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner’s access to your FIRSTBIT SMART SOLUTIONS L.L.C Services account in these circumstances, you would need to request that your FIRSTBIT SMART SOLUTIONS L.L.C Partner withdraws their access to your FIRSTBIT SMART SOLUTIONS L.L.C Services account. This will lead to the termination of the FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner 1 user access to your FIRSTBIT SMART SOLUTIONS L.L.C Services account.

You are responsible for working with your FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner to set and manage access rights and levels of access that your FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner has over your FIRSTBIT SMART SOLUTIONS L.L.C Services account as agreed between you and your FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner. You acknowledge that we have no control over such access rights, and therefore we accept no liability for any loss or damage or other liability that you suffer as a result of any act, omission or failure of your FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner.

If you pay your FIRSTBIT SMART SOLUTIONS L.L.C Services account or any other subscription charges to an entity separate from FIRSTBIT SMART SOLUTIONS L.L.C (e.g., if you obtain access via FIRSTBIT SMART SOLUTIONS L.L.C Accountant Partner), you agree that you shall remain bound by the terms of this Agreement.

CONTENT

You are responsible for your content. You are responsible for all materials ("Content") uploaded, posted or stored through your use of the Services. Archive your Content frequently. You grant FIRSTBIT SMART SOLUTIONS L.L.C a worldwide, royalty-free, non-exclusive license to host and use any Content provided through your use of the Services. You are responsible for any lost or unrecoverable Content. You must provide all required and appropriate warnings, information and disclosures. FIRSTBIT SMART SOLUTIONS L.L.C is not responsible for the Content or data you submit through the Services.

You agree not to use, nor permit any third party to use the Services to upload, post, distribute, link to, publish, reproduce, engage in or transmit any of the following, including but not limited to:
  • Illegal, fraudulent, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, harassing, offensive, inappropriate or objectionable information or communications of any kind, including without limitation conduct that would encourage "flaming" others, or criminal or civil liability under any local, state, federal or foreign law;
  • Content that would impersonate someone else or falsely represent your identity or qualifications, or that constitutes a breach of any individual’s privacy;
  • Except as permitted by FIRSTBIT SMART SOLUTIONS L.L.C in writing, investment opportunities, solicitations, chain letters, pyramid schemes, other unsolicited commercial communication or engage in spamming or flooding;
  • Virus, trojan horse, worm or other disruptive or harmful software or data;
  • Any information, software or Content which is not legally yours and without permission from the copyright owner or intellectual property rights owner.
FIRSTBIT SMART SOLUTIONS L.L.C may freely use the feedback you provide. You agree that FIRSTBIT SMART SOLUTIONS L.L.C may use your feedback, suggestions, or ideas in any way, including in future modifications to the Services, other products or services, advertising or marketing materials. You grant FIRSTBIT SMART SOLUTIONS L.L.C a perpetual, worldwide, fully transferable, sublicensable, non-revocable, fully paid-up, royalty free license to use the feedback you provide to FIRSTBIT SMART SOLUTIONS L.L.C in any way.

FIRSTBIT SMART SOLUTIONS L.L.C may monitor your Content. FIRSTBIT SMART SOLUTIONS L.L.C may, but has no obligation to, monitor Content on the Services. We may disclose any information necessary to satisfy our legal obligations, protect FIRSTBIT SMART SOLUTIONS L.L.C or its customers, or operate the Services properly. FIRSTBIT SMART SOLUTIONS L.L.C, in its sole discretion, may refuse to post, remove, or refuse to remove, any Content, in whole or in part, alleged to be unacceptable, undesirable, inappropriate, or in violation of this Agreement.

PRIVACY NOTICE FOR CUSTOMER DATA (SaaS)

In connection with your use of the Services, you acknowledge and agree that FIRSTBIT SMART SOLUTIONS L.L.C may collect, store, and process personal information and other data that you or your authorized users submit, upload, input, or generate through the Services (“Customer Data”). Customer Data means any personal data or other information submitted to or processed through the Services on your behalf.

You act as the data controller of all Customer Data, while FIRSTBIT SMART SOLUTIONS L.L.C acts as your data processor and processes such Data strictly in accordance with this Privacy Notice and our obligations under all applicable data protection laws, including Federal Decree-Law No. 45 of 2021 Concerning the Protection of Personal Data, its Executive Regulations, and any other relevant laws of the United Arab Emirates.

You confirm that you have provided all required notices, obtained all necessary consents, and established all lawful bases to allow FIRSTBIT SMART SOLUTIONS L.L.C to process Customer Data. You remain solely responsible for the accuracy, legality, and completeness of Customer Data and agree to indemnify FIRSTBIT SMART SOLUTIONS L.L.C for any claims arising from your failure to meet your controller obligations.

Customer Data entered or uploaded to the Services by the Customer shall remain at all times the exclusive property of the Customer. FIRSTBIT SMART SOLUTIONS L.L.C processes such Customer Data solely for the purpose of providing, operating, maintaining, and supporting the Services, including user authentication, account administration, technical support, troubleshooting, system monitoring, diagnostics, analytics, performance enhancement, security monitoring, fraud prevention, backup, recovery, and compliance with applicable legal and regulatory obligations.

FIRSTBIT SMART SOLUTIONS L.L.C has implemented and maintains appropriate technical and organizational security measures, aligned with internationally recognized standards (including ISO/IEC 27001:2013), to protect Customer Data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or unauthorized access. These measures cover physical access, system access, data access, secure transmission, logging, enforcement, and oversight.

All FIRSTBIT SMART SOLUTIONS L.L.C employees are bound by confidentiality obligations and receive regular training on information protection.

FIRSTBIT SMART SOLUTIONS L.L.C does not sell Customer Data or use it for any independent commercial purpose and will only disclose Customer Data to third parties where necessary to deliver the Services or where required by law. Where legally permitted, FIRSTBIT SMART SOLUTIONS L.L.C shall inform you before such disclosure.

Where subcontractors or third parties are granted access to Customer Data contained within FIRSTBIT SMART SOLUTIONS L.L.C systems, FIRSTBIT SMART SOLUTIONS L.L.C shall implement appropriate contractual, technical, and organizational measures to ensure that such Data is processed only to the extent necessary, in a manner consistent with this Privacy Notice, and in full compliance with applicable law, and that such third parties are likewise bound by confidentiality obligations.

If Customer Data is transferred outside the UAE, FIRSTBIT SMART SOLUTIONS L.L.C shall implement appropriate safeguards to ensure an adequate level of protection for such data, including by applying the EU Standard Contractual Clauses or any other lawful transfer mechanism required under applicable data protection laws.

FIRSTBIT SMART SOLUTIONS L.L.C will assist the Customer in responding to any data subject requests under applicable data protection laws.

FIRSTBIT SMART SOLUTIONS L.L.C promptly evaluates any incident indicating unauthorized access to or handling of Customer Data. If FIRSTBIT SMART SOLUTIONS L.L.C determines that a data breach has occurred that compromises the confidentiality, integrity, or availability of Customer Data, FIRSTBIT SMART SOLUTIONS L.L.C shall notify you without undue delay, unless prohibited by law.

Unless otherwise required by law or specified in an applicable services order, upon termination of the Services, FIRSTBIT SMART SOLUTIONS L.L.C shall return or delete Customer Data remaining on FIRSTBIT SMART SOLUTIONS L.L.C systems.

This Privacy Notice was last updated on February 12th, 2026. However, it may be updated periodically to reflect legal or operational changes. The latest version will be available on our website. Material updates will be communicated to you through an appropriate method prior to taking effect.

FIRSTBIT SMART SOLUTIONS L.L.C EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. FIRSTBIT SMART SOLUTIONS L.L.C MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. USE OF ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE SERVICES SHALL BE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE TELEPHONE, WIRELESS DEVICE OR DATA THAT RESULTS FROM THE USE OF FIRSTBIT SMART SOLUTIONS L.L.C SERVICES OR THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM FIRSTBIT SMART SOLUTIONS L.L.C, ITS EMPLOYEES OR REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

LIMITATION OF LIABILITY

YOU AGREE THAT FIRSTBIT SMART SOLUTIONS L.L.C SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF FIRSTBIT SMART SOLUTIONS L.L.C HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL FIRSTBIT SMART SOLUTIONS L.L.C ENTIRE LIABILITY TO YOU IN RESPECT OF ANY SERVICES, WHETHER DIRECT OR INDIRECT, EXCEED THE FEES PAID BY YOU TOWARDS SUCH SERVICES.

INDEMNIFICATION

You agree to indemnify and hold harmless FIRSTBIT SMART SOLUTIONS L.L.C, its officers, directors, employees, suppliers, and affiliates, from and against any losses, damages, fines and expenses (including attorney's fees and costs) arising out of or relating to any claims that you have used the Services in violation of another party's rights, in violation of any law, in violation of any provision of these Terms, or any other claim related to your use of the Services, except where such use is authorized by FIRSTBIT SMART SOLUTIONS L.L.C.

REFUND AND CANCELLATION POLICY

FIRSTBIT SMART SOLUTIONS L.L.C maintains a strict No Refund and No Cancellation Policy.

All purchases made through https://firstbit.ae/ are final. No refunds shall be issued once payment has been successfully processed. By completing a purchase, you acknowledge and agree that no cancellation or refund will be permitted after the transaction is completed.

Notwithstanding the foregoing, if FIRSTBIT SMART SOLUTIONS L.L.C commits a material breach of its obligations under these Terms and fails to cure such breach within thirty (30) days after receiving written notice from you and you terminate the Agreement as a direct result of such breach, you shall be entitled to a prorated refund of prepaid unused fees.

SUSPENSION AND TERMINATION

We may suspend your user account or temporarily disable access to whole or part of any the Services in the event of any suspected illegal activity, extended periods of inactivity or requests by law enforcement or other government agencies. Objections to suspension or disabling of user accounts should be made to [email protected] within 30 days of receiving notice of the suspension. We may terminate a suspended or disabled user account thirty (30) days after the date of suspension. We will also terminate your user account on your request.

In addition, we reserve the right to terminate your user account and deny the Services upon reasonable belief that you have violated the Terms. Termination of user account will include denial of access to all Services, deletion of information in your user account such as your email address and password and deletion of all data in your user account.
